1. Acceptance of Terms

Welcome to MARQUEE ("Company", "we", "our", "us"). By accessing or using our website, platform, AI generation tools, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the terms and conditions of this agreement, you may not access the website or use any services.

2. Age Requirements and Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age. If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Strict Prohibition of NSFW, Illegal, and Infringing Content

MARQUEE maintains a zero-tolerance policy for Not Safe For Work (NSFW) content, illegal material, and intellectual property infringement. You expressly agree that you will not use our AI tools or platform to generate, upload, distribute, or prompt:

• Any sexually explicit, pornographic, or highly suggestive content.
• Child Sexual Abuse Material (CSAM) or any content exploiting minors.
• Content that promotes violence, self-harm, terrorism, or hate speech.
• Copyrighted, trademarked, or otherwise protected intellectual property belonging to third parties without express written authorization.
• Deepfakes or non-consensual synthetic media depicting real individuals.

Violating this section will result in immediate, unappealable account termination, forfeiture of all credits/purchases without refund, and potential reporting to relevant law enforcement agencies (including NCMEC).

4. AI-Generated Content, Rights, and Ownership

MARQUEE leverages advanced artificial intelligence models to generate media ("Output") based on your text prompts and uploaded materials ("Input").

• Your Rights: Subject to your compliance with these Terms, MARQUEE grants you a non-exclusive, worldwide, royalty-free license to use, reproduce, and display the Output you generate for personal or commercial purposes.
• No Guarantee of Copyrightability: You acknowledge that under current international laws, AI-generated content may not be eligible for copyright protection. MARQUEE makes no representations or warranties regarding your ability to copyright the Output.
• Similarity to Others: Due to the nature of AI, Output may not be unique. Other users may provide similar Inputs and receive similar or identical Output. You may not claim exclusive rights to Output that is identical or highly similar to Output generated by other users.

5. Payments, Subscriptions, and Merchant of Record

All financial transactions, including subscriptions, role upgrades, and credit purchases, are processed through our Merchant of Record, Paddle.com Market Ltd ("Paddle").

• By making a purchase, you agree to Paddle's Terms and Conditions and Privacy Policy.
• Paddle is responsible for processing payments, fraud prevention, and collecting applicable local taxes (e.g., VAT, GST).
• All fees are exclusive of taxes unless otherwise stated. Subscriptions automatically renew unless canceled prior to the end of the current billing cycle.

6. Advertising and "Explore" Feed

Users who purchase advertising space on the MARQUEE "Explore" feed represent and warrant that their advertisements comply with all applicable laws and our content guidelines (Section 3). We reserve the right to remove any advertisement at any time, in our sole discretion, without refund if it violates these Terms.

7. Limitation of Liability and "As-Is" Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, MARQUEE disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall MARQUEE, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
